Terms and Conditions

Effective Date: January 1, 2025

These Terms and Conditions (“Terms”) form a legally binding agreement between CubiFlow (“We”, “Us”, “Our”) and the Client (“You”) regarding website design and development services.

1. Scope of Work

CubiFlow will deliver services as outlined in the approved quotation or proposal. These may include but are not limited to:

  • UI/UX design
  • Website development on Webflow
  • CMS structure setup
  • Responsive layout adjustments
  • Custom animations and interactions
  • Third-party integrations (e.g., Memberstack, Stripe, Calendly)
  • Basic SEO setup

Any request outside the original scope will require a separate quotation and approval.

2. Quotation & Acceptance

  • A formal quotation will be provided, outlining project scope, timeline, deliverables, and payment terms.
  • By accepting the quotation, you also agree to these Terms.
  • Any changes to the scope after the project has started may result in additional charges and revised delivery time.

3. Payment Terms

  • Payment structure is defined per project, as specified in the quotation
  • The initial payment must be received before work begins.
  • Final deliverables will only be provided after full payment is received.
  • Payments overdue by more than 7 calendar days may incur a 5% late fee per week.
  • All payments made are non-refundable, unless CubiFlow fails to deliver agreed services without valid justification.

4. Client Responsibilities

You agree to:

  • Provide all necessary content (text, images, branding assets, etc.) in a timely manner.
  • Respond to feedback and review requests within 48–72 hours.
  • Ensure that all provided materials are legally owned, licensed, or approved for use.
  • Use all third-party tools (e.g., Stripe, Webflow, Memberstack) in accordance with their own terms of service.

5. Revisions

  • Each project phase includes 2–3 rounds of revisions (unless otherwise stated in the quotation).
  • Minor adjustments after launch are included during the post-launch support period.
  • Significant changes or any updates outside the original scope will be billed separately.

6. Timelines & Delays

  • Project timelines are specified in the quotation.
  • Delays caused by the client (late content, delayed feedback, late payments) will affect the timeline and are not CubiFlow’s responsibility.
  • Any delay caused by CubiFlow will be clearly communicated and adjusted accordingly.

7. Ownership & Rights

  • Upon final payment, you receive full ownership of the website and deliverables.
  • CubiFlow reserves the right to display the completed work in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.

8. Cancellation & Termination

  • You may cancel the project at any time in writing. All payments made prior to cancellation are non-refundable.
  • CubiFlow reserves the right to terminate the project in cases of breach of terms. Any completed work will be summarized and, if applicable, a partial refund will be issued for unfinished work.
  • Projects with no response or communication from the client for more than 14 calendar days may be suspended or terminated without further notice.

9. Post-Launch Support

  • CubiFlow provides 7 days of free post-launch support to fix bugs or perform minor adjustments.
  • Support begins upon delivery of the final website or written notice of project completion.
  • If no feedback, content, or requests are received within 7 days of completion, the project will be considered closed and support will end.
  • Any requests made after this period will be treated as new work and quoted separately.

10. Liability

  • CubiFlow is not liable for failures or changes from third-party services (e.g., Stripe, Webflow, DNS providers).
  • We are not responsible for legal compliance of content provided by the client or misuse of the website after handoff.
  • Clients are responsible for reviewing and approving the website before launch.

11. Legal Jurisdiction

  • These Terms shall be governed by and interpreted under the laws of Vietnam.
  • Any disputes will be settled in the competent courts of Ho Chi Minh City, unless otherwise agreed in writing.
